Overview
This document consolidates the principal legal disclosures relating to Dave Carter Group LLC and its affiliated entities. It is intended to promote transparency about who we are, what we do, and the regulatory framework governing our work.
This document is supplemented by our Brokerage Disclosure (which details the legal separation between advisory and brokerage activities), our Privacy Policy, and our Terms of Use. Together, these documents describe the legal framework within which we operate.
Legal Entities
The services described on our websites are provided by three distinct legal entities, each governed by its own jurisdiction and regulatory regime:
Dave Carter Group LLC (USA)
A Wyoming-based limited liability company providing advisory, consulting, and investor services. The LLC is not a licensed real estate brokerage.
Kola Adisa (Individual Licensee)
An individually-licensed New York REALTOR® providing brokerage services in New York State under his personal license — separately from, and not under the umbrella of, Dave Carter Group LLC.
Dave Carter Integrated Services Ltd (Nigeria)
A Nigerian limited liability company providing real estate operations, property management, and related services in Nigeria under Nigerian law.

Advisory Scope
Dave Carter Group LLC provides advisory and consulting services, which include but are not limited to:
- Real estate investment advisory and underwriting review
- Business strategy and operational consulting
- Cross-border investment structuring counsel
- Diaspora wealth and capital planning guidance
- Portfolio review and ongoing advisory mandates
- Coordination with licensed professionals (attorneys, tax advisors, brokers)
The LLC does not perform licensed brokerage activity, provide regulated investment advice (as defined under US securities law), practice law, or provide tax preparation or opinions. Each of those functions is performed by appropriately licensed third parties, whom we coordinate with.

- All other applicable local fair housing ordinances
- The Code of Ethics of the National Association of REALTORS®

Kola Adisa maintains active membership in the following professional organizations, which impose ethical standards, continuing education requirements, and professional conduct obligations on their members:

- New York State Association of REALTORS® — State-level professional standards and continuing education
- Staten Island Board of REALTORS® (SIBOR) — Regional MLS access and local industry oversight
- New York Real Estate Institute (NYREI) — Professional training and credentialing body
- Association of Estate Agents of Nigeria (AEAN) — Ethical standards for Nigerian real estate practice
Membership in these organizations does not constitute endorsement of any particular transaction, strategy, or outcome. It reflects a commitment to ongoing professional development and ethical practice.
Regulatory Compliance
Our services are provided in accordance with applicable federal, state, and international laws, including but not limited to:
- US federal laws governing financial services, anti-money laundering (AML), and know-your-customer (KYC) obligations
- New York State real estate licensing law and Department of State regulations (as applicable to Kola Adisa's personal license)
- Wyoming business law as applicable to Dave Carter Group LLC's formation and operations
- Nigerian commercial law and Corporate Affairs Commission (CAC) regulations as applicable to Dave Carter Integrated Services Ltd
- US Bank Secrecy Act, USA PATRIOT Act, and Office of Foreign Assets Control (OFAC) sanctions regulations
- Applicable international regulations governing cross-border capital flows and diaspora remittances
We conduct appropriate due diligence and compliance reviews for client engagements. For complex cross-border matters, we coordinate with qualified legal counsel in the relevant jurisdictions.
Cross-Border Regulation
Cross-border real estate transactions and advisory work involving both the United States and Nigeria are subject to multiple regulatory regimes. These may include, but are not limited to:
- US tax reporting obligations for foreign assets (FBAR, FATCA)
- Nigerian foreign exchange regulations and Certificates of Capital Importation
- Transfer pricing and withholding tax considerations in both jurisdictions
- Double-taxation treaty considerations (where applicable)
- AML/KYC obligations across jurisdictions
- Nigerian Land Use Act compliance for real estate acquisitions
While we provide advisory counsel on cross-border structuring, the ultimate legal and tax responsibility rests with the client and their retained legal and tax professionals. We do not provide legal or tax advice ourselves — we coordinate with those who are licensed to do so.
Conflicts of Interest
We endeavor to operate with transparency regarding potential conflicts of interest. Our practices include:
- Fee transparency: Advisory fees are disclosed upfront. Brokerage commissions, where applicable, follow industry-standard disclosure requirements.
- Dual representation: Where Kola Adisa is representing both buyer and seller in a New York transaction, such dual agency is disclosed in writing as required by New York law.
- Referral relationships: When we refer clients to attorneys, tax advisors, licensed brokers in other jurisdictions, or third-party service providers, we disclose any material referral arrangements.
- Entity-related interests: Where the LLC (USA) coordinates with DCIS Ltd (Nigeria) on a client engagement, the ownership relationship between these entities is disclosed, and fees for each entity's services are separately contracted and transparent.
- Personal interests: Where the advisory team or founder has a personal financial interest in a matter under discussion (e.g., a property being considered by a client in which we also have interest), such interest is disclosed before any advice is given.
Testimonials & Case Studies
Any client testimonials, case studies, or references to past work on our websites, in our publications, or in marketing materials:
- Are provided with the express permission of the individuals quoted
- Reflect the experience of specific individuals in specific circumstances
- Are not guarantees of comparable results for other clients
- May be anonymized or identified only by initials or descriptive titles to protect privacy
- Are not compensated unless explicitly and transparently disclosed
