Dave Carter Group LLC is an advisory firm.
It is not a licensed real estate brokerage. The LLC provides consulting, strategy, and investor services — not brokerage representation.
Kola Adisa is a licensed New York REALTOR®.
Brokerage activity in New York State — buying, selling, leasing — is performed by Kola Adisa personally, under his own individual license, not by Dave Carter Group LLC.
Dave Carter Integrated Services Ltd is Nigeria.
Real estate services in Nigeria — property management, rentals, acquisitions — are operated by a separate Nigerian company under Nigerian law.
Each engagement is contracted to the correct entity.
When you hire us, the engagement letter clearly states which entity (or individual) you are contracting with — and under which jurisdiction's law.

What this entity is
Dave Carter Group LLC is a Wyoming limited liability company registered in the United States of America. It provides advisory services only — specifically: real estate investment advisory, business and strategy consulting, cross-border investment structuring counsel, and diaspora wealth planning services.
What this entity is NOT
Dave Carter Group LLC is not a licensed real estate brokerage in any US state, including New York. It does not hold a brokerage license. It does not employ agents who act on its behalf for brokerage purposes. It does not collect commissions on real estate transactions.
What this entity can do
- Provide strategic counsel on real estate investments
- Offer market analysis, underwriting review, and portfolio guidance
- Consult on business operations, growth, and governance
- Advise on cross-border structuring (entities, tax, compliance)
- Serve as an advisor coordinating between other professionals
- Provide written reports, deliverables, and ongoing counsel
What this entity cannot do
- Act as a real estate broker in any US jurisdiction
- List properties, represent buyers/sellers, or negotiate transactions
- Collect commissions from real estate sales or leases
- Hold client funds in a real estate escrow capacity
- Provide legal or tax advice (we coordinate with your counsel)
- Perform regulated brokerage activity under any state law

Critical Distinction
All real estate brokerage activity conducted in the State of New York is performed by Kola Adisa personally, operating under his individual New York State REALTOR® license — not under the umbrella of Dave Carter Group LLC.
What this means in practice
When a client engages Kola Adisa for New York real estate brokerage services (buying a property, selling a property, leasing, or representing them as an agent in a transaction), the engagement is with Kola Adisa the individual licensee — governed by the laws, regulations, and professional standards of New York State.
The engagement letter for brokerage services is a separate document from any advisory engagement with Dave Carter Group LLC. Fees are separate. Scope is separate. Liability and regulatory oversight flow through his personal license and the affiliated brokerage firm.

Kola Adisa's brokerage practice is conducted in accordance with the ethical standards and obligations of the following professional bodies:
- National Association of REALTORS® (NAR) — National ethical standards for US real estate professionals
- New York State Association of REALTORS® — Statewide regulatory framework and continuing education
- Staten Island Board of REALTORS® (SIBOR) — Local MLS access and regional industry standards
- New York Real Estate Institute (NYREI) — Professional training and credentialing
- Association of Estate Agents of Nigeria (AEAN) — Dual-market competence for Nigeria-related work

Geographic scope

What this entity is
Dave Carter Integrated Services Ltd is a Nigerian limited liability company headquartered in Lagos, Nigeria. It is a legally independent entity from Dave Carter Group LLC (USA). It operates under Nigerian commercial law, is regulated by Nigerian authorities, and conducts business in accordance with the Nigerian Real Estate and Facility Management regulatory framework.

Regulatory framework
Nigerian real estate activity conducted by Dave Carter Integrated Services Ltd is performed in compliance with applicable Nigerian laws, including requirements set by the Corporate Affairs Commission (CAC), and in alignment with the ethical standards of the Association of Estate Agents of Nigeria (AEAN) — of which Kola Adisa is a member.
Important note on cross-border work
When diaspora clients engage us for integrated advisory-plus-operations work (e.g., advisory on acquiring Nigerian property, with execution via our Lagos office), the engagement involves both entities — Dave Carter Group LLC for the advisory component, and Dave Carter Integrated Services Ltd for the operational component. These are contractually and legally distinct engagements.

A New Yorker Buying in Manhattan
A US-based professional wants to purchase a brownstone in Brooklyn. The engagement is entirely with Kola Adisa, REALTOR® — a direct brokerage relationship under his NY license.

We coordinate with qualified legal and tax professionals to ensure full compliance, but ultimate legal and tax responsibility rests with the client and their retained counsel.

Clients and members of the public may verify Kola Adisa's active New York REALTOR® license through the New York Department of State's Division of Licensing Services. Verification materials and formal license documentation are available upon written request to info@davecartergroup.com.
Entity Changes & Updates
The legal structure described on this page is current as of the "Effective Date" shown at the top. Any material changes to entity structure, licensing, regulatory status, or scope of services will be reflected through updates to this disclosure and — where applicable — communicated to active clients directly.
Governing Law
Engagement letters with Dave Carter Group LLC are governed by the laws of the State of Wyoming, USA. Engagements with Kola Adisa personally (for NY brokerage services) are governed by the laws of the State of New York. Engagements with Dave Carter Integrated Services Ltd are governed by the laws of the Federal Republic of Nigeria. Each engagement letter specifies its applicable jurisdiction.
